Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the FirstStore platform, including its website, mobile applications, and associated services (collectively, the “Platform”), operated by NewEdge Store Private Limited (“Company”, “we”, “our”, or “us”). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

Definitions

1.1 Platform

“Platform” refers to the digital ecosystem of FirstStore, including its mobile applications, website, dashboards, APIs, and any related services or tools provided by the Company.

1.2 User

“User” refers to any individual or entity accessing, browsing, registering, or transacting on the Platform.

1.3 Partner Store

“Partner Store” refers to independent sellers, franchise operators, or vendors listed on FirstStore who offer products or services to Users.

1.4 Services

“Services” include product discovery, ordering, payment facilitation, delivery support, and customer assistance enabled through the Platform.

Nature Of The Platform

2.1 Intermediary Role

FirstStore operates as a technology-enabled intermediary platform that facilitates connections between Users and Partner Stores.

2.2 No Ownership of Inventory

The Company does not manufacture, own, or directly control the inventory listed by Partner Stores unless explicitly stated.

2.3 Store Responsibility

All responsibilities relating to product quality, pricing accuracy, stock availability, and compliance with applicable laws lie solely with the respective Partner Store.

User Eligibility & Obligations

3.1 Legal Eligibility

Users must be at least 18 years old and legally capable of entering into binding agreements under applicable law.

3.2 Accurate Information

Users agree to provide accurate, complete, and up-to-date information during registration and usage of the Platform.

3.3 Lawful Usage

Users shall use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.

3.4 Prohibited Conduct

Users shall not engage in fraudulent activities, misuse promotional benefits, impersonate others, or disrupt Platform operations.

Account Registration & Security

4.1 Account Creation

Certain features may require Users to create an account using verified credentials.

4.2 Account Responsibility

Users are solely responsible for maintaining the confidentiality of their account credentials and all activities conducted under their account.

4.3 Unauthorized Access

The Company shall not be liable for any loss or damage arising from unauthorized access due to User negligence.

Orders & Contract Formation

5.1 Order Placement

An order placed by a User constitutes an offer to purchase products or services from a Partner Store.

5.2 Acceptance of Orders

An order is considered accepted only upon confirmation by the Partner Store and successful processing of payment.

5.3 Order Cancellation by Platform

The Company reserves the right to cancel or reject orders due to errors, unavailability, suspected fraud, or operational constraints.

Pricing & Payments

6.1 Pricing Variability

Prices may vary based on location, Partner Store, demand conditions, and availability.

6.2 Additional Charges

The Platform may include convenience fees, delivery charges, or service fees as applicable.

6.3 Payment Processing

Payments are processed through third-party payment gateways, and the Company does not store sensitive financial data.

6.4 Failed Transactions

In case of failed or duplicate transactions, refunds shall be processed in accordance with banking and payment provider timelines.

Delivery & Fulfillment

7.1 Estimated Timelines

Delivery timelines are indicative and may vary based on operational conditions.

7.2 Delays

Delays may occur due to store readiness, traffic, weather, or unforeseen circumstances.

7.3 Responsibility Allocation

Responsibility for delivery may lie with either the Partner Store or the Platform depending on the logistics model.

Cancellation, Refunds & Disputes

8.1 Policy Governance

All cancellations and refunds shall be governed by the separate Refund & Cancellation Policy.

8.2 Dispute Resolution

The Company reserves the right to investigate disputes and make final determinations based on available evidence.

Platform Usage Restrictions

9.1 Technical Restrictions

Users shall not attempt to reverse engineer, hack, scrape, or disrupt the Platform's infrastructure.

9.2 Abuse of Services

Any misuse of services, including fake orders or manipulation of systems, may result in account suspension.

Intellectual Property Rights

10.1 Ownership

All intellectual property related to the Platform, including branding, UI/UX, and technology, is owned by NewEdge Store Private Limited.

10.2 Restrictions

Unauthorized reproduction, distribution, or modification of Platform content is strictly prohibited.

Third Party Services

11.1 Integrations

The Platform may integrate with third-party services such as payment gateways, logistics providers, and analytics tools.

11.2 Liability Disclaimer

The Company shall not be responsible for failures or issues arising from third-party services.

Disclaimer Of Warranties

12.1 Service Basis

The Platform is provided on an “as-is” and “as-available” basis without warranties of any kind.

12.2 No Guarantees

The Company does not guarantee uninterrupted access, error-free operation, or complete accuracy of information.

Limitation Of Liability

13.1 Scope of Liability

The Company shall not be liable for indirect, incidental, or consequential damages.

13.2 Liability Cap

Total liability shall not exceed the amount paid by the User for the specific transaction.

Indemnification

14.1 User Responsibility

Users agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from misuse of the Platform or violation of these Terms.

Termination

15.1 Suspension Rights

The Company may suspend or terminate User access for violations of these Terms or for security reasons.

15.2 Effect of Termination

Upon termination, User access to services may be immediately revoked.

Governing Law & Jurisdiction

16.1 Applicable Law

These Terms shall be governed by the laws of India.

16.2 Jurisdiction

All disputes shall be subject to the jurisdiction of courts located in Mumbai, Maharashtra.

Force Majeure

17.1 Uncontrollable Events

The Company shall not be held liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, or network failures.

Modifications To Terms

18.1 Updates

The Company reserves the right to modify these Terms at any time.

18.2 Continued Usage

Continued use of the Platform after updates constitutes acceptance of revised Terms.

Grievance Redressal

19.1 Officer Details

A designated Grievance Officer shall address user concerns in compliance with applicable laws.

19.2 Contact Timeline

All complaints shall be acknowledged and addressed within a reasonable timeframe.
