Franchise & Partner Terms
These Franchise & Partner Terms (“Terms”) govern the relationship between NewEdge Store Private Limited, operating under the brand FirstStore (“Company”, “we”, “our”, or “us”), and the independent businesses, franchise operators, and sellers (“Partner”, “Store”, or “you”) who onboard and operate on the FirstStore Platform. By registering as a Partner Store on the Platform, you agree to be bound by these Terms, which define operational standards, commercial arrangements, responsibilities, and compliance requirements. These Terms are intended to ensure consistency, quality, and reliability across the FirstStore ecosystem.
Eligibility & Onboarding
1.1 Eligibility Criteria
To become a Partner Store, applicants must:
- Be a legally registered business entity or authorized individual
- Possess valid licenses and permits as required by applicable laws
- Meet operational, logistical, and quality standards defined by the Company
Approval is subject to verification and discretion of the Company.
1.2 Onboarding Process
Partners must complete the onboarding process, including:
- Submission of required documents
- Verification of business credentials
- Integration with Platform systems
The Company reserves the right to accept or reject applications without obligation to disclose reasons.
1.3 Account Setup
Upon approval, the Partner will receive access to a dashboard or system to manage listings, orders, and operations. The Partner is responsible for maintaining secure access credentials.
Nature Of Relationship
2.1 Independent Entity
The Partner operates as an independent business entity and not as an employee, agent, or legal representative of the Company.
2.2 No Partnership or Agency
Nothing in these Terms shall be construed as creating a partnership, joint venture, or agency relationship between the Company and the Partner.
2.3 Platform Role
The Company provides a technology platform and support infrastructure to enable Partners to offer products and services to Users.
Product Listings & Inventory
3.1 Accuracy of Listings
Partners are responsible for ensuring that all product listings are accurate, complete, and up-to-date, including:
- Product descriptions
- Pricing
- Availability
3.2 Inventory Management
Partners must maintain real-time inventory accuracy to avoid order cancellations and customer dissatisfaction.
3.3 Prohibited Listings
Partners shall not list:
- Illegal or restricted products
- Counterfeit or misleading items
- Products violating intellectual property rights
Order Management & Fulfillment
4.1 Order Acceptance
Partners are expected to accept and process orders promptly. Delays or repeated rejections may impact Partner standing.
4.2 Preparation & Packaging
Partners must ensure:
- Proper packaging
- Quality checks before dispatch
- Compliance with hygiene and safety standards
4.3 Fulfillment Responsibility
Partners are responsible for fulfilling orders accurately and within expected timelines, regardless of whether delivery is handled by the Platform or third-party providers.
Pricing & Commissions
5.1 Pricing Control
Partners may set their own prices, subject to:
- Platform guidelines
- Fair pricing practices
5.2 Commission Structure
The Company may charge a commission or service fee on transactions conducted through the Platform. The applicable rates shall be communicated separately.
5.3 Payment Settlement
Payments to Partners will be processed after deduction of applicable commissions, fees, and adjustments, in accordance with settlement cycles defined by the Company.
Service Level Agreements (SLAs)
6.1 Performance Standards
Partners are required to meet defined performance metrics, including:
- Order acceptance rate
- Preparation time
- Customer ratings
6.2 Monitoring & Evaluation
The Company may monitor Partner performance and provide feedback or corrective measures where necessary.
6.3 Non Compliance
Failure to meet SLAs may result in:
- Reduced visibility on the Platform
- Temporary suspension
- Termination of partnership
Customer Experience & Quality Control
7.1 Quality Assurance
Partners must ensure consistent product quality and customer satisfaction.
7.2 Complaint Handling
Partners are expected to cooperate in resolving customer complaints, including refunds, replacements, or clarifications.
7.3 Brand Representation
Partners shall maintain standards aligned with the FirstStore brand and shall not engage in practices that harm the Platform's reputation.
Compliance & Legal Obligations
8.1 Regulatory Compliance
Partners must comply with all applicable laws, including:
- Business regulations
- Tax obligations
- Consumer protection laws
8.2 Documentation
Partners must maintain valid licenses and provide updated documentation when requested.
Data & Confidentiality
9.1 Use of Data
Partners may access limited user data solely for order fulfillment and must not use it for unauthorized purposes.
9.2 Confidential Information
Partners must protect confidential information related to the Platform, users, and operations.
Restrictions & Misuse
10.1 Prohibited Activities
Partners shall not:
- Manipulate pricing unfairly
- Engage in fraudulent practices
- Circumvent the Platform for direct transactions
10.2 Enforcement
Violation of these Terms may result in penalties, suspension, or termination.
Suspension & Termination
11.1 Termination Rights
The Company reserves the right to suspend or terminate Partner access at its discretion, especially in cases of:
- Policy violations
- Poor performance
- Legal risks
11.2 Effect of Termination
Upon termination:
- Listings may be removed
- Pending settlements may be processed after adjustments
Limitation Of Liability
12.1 Scope
The Company shall not be liable for:
- Partner operational failures
- Customer disputes arising from Partner actions
12.2 Liability Cap
Liability shall be limited to amounts payable under the specific transaction.
Indemnification
13.1 Partner Responsibility
Partners agree to indemnify the Company against claims arising from:
- Product issues
- Legal violations
- Customer disputes
Modifications To Terms
14.1 Updates
The Company reserves the right to update these Terms.
14.2 Continued Participation
Continued use of the Platform constitutes acceptance of revised Terms.
Governing Law & Jurisdiction
15.1 Applicable Law
These Terms shall be governed by the laws of India.
15.2 Jurisdiction
All disputes shall be subject to courts in Mumbai, Maharashtra.
